Legal Professional (Associate to Partner)
W SOLICITORS LIMITED- Handle the fundamental foreign direct investment project, including incorporating a limited company, tax registration, social security registration, and immigration, such as visa and work permit, or coordinate with the board of investment promotion, etc.
- Response to corporate matters with practical solutions from time to time
- Prepare minutes and facilitate the shareholder and board of directors meeting, including coordinating with bookkeepers and auditors
- Assist with merger and acquisition deals, including conducting due diligence, license reviewing, and preparing reports with practical solutions
- Conduct legal research on various matters, including but not limited to Foreign Business Act and
- Facilitate the incorporation of off-shore companies and the acquisition of bank accounts in multiple jurisdictions, including maintenance hereof
- Conduct research on capital market regulations issued by the relevant authorities, including SEC, BoT, and AMLO
- Assist Counsels in preparing applications to apply for intermediary licenses from relevant authorities
- Act as a liaison of clients to communicate with the regulators together with maintaining robust and steady relationships with regulators
- Update application statuses to the client and regulators while establishing mutual understandings among parties and
- Collaborate with other departments and external counsel to maintain a healthy collaboration level
- Communicate with the client to collect the relevant information for the tax assignment
- Conduct research on a tax ruling, including reviewing the consultation letter and respective precedents, including the judgment rendered by the Supreme Court
- Draft, review, and revise reliable tax advice as requested by the clients or respective stakeholders
- Conduct international tax planning and respective local tax planning on the best-practice basis
- Coordinate with the associate in corporate and commercial practice to incorporate both on-shore and off-shore companies according to the preceding rendered advice
- Draft, review, and revise the prevailing agreement from a taxation perspective from time to time
- Preparing for the tax disputes and respective settlement with both government and judicial bodies and
- Coordinate with the tax government bodies in different jurisdictions from time to time
- Litigate the cases in the right direction based on the client's best interest and maintain good standing in the firm's position
- Communicate with the client for the direction and status of the cases, both civil and criminal matters
- Providing consultation, guidance, and comfort to clients during the cases, including pre-litigation, litigation, and legal execution up to completion
- Draft the notice of complaint, including supporting documents, routine motion to filing, and schedule the appointment, including pursuing the court procedure up to the final verdict
- Negotiate with the contractual parties for the settlement based on the client's best interest
- Following the result as rendered by the court and providing an update to the client in the appropriate, timely manner
- Research for the precedent and interpretation on the pre-litigation basis to set out the case's direction and issue advice from time to time
- Conduct a financial simulation for clients' consideration to set out direction before drafting a notice of complaint and
- Draft and prepare accurate legal advice related to litigation practice on an ad hoc basis in accordance with the precedent
- Minimum bachelor’s degree in law from reputable universities, either local or overseas
- Experienced in a law firm or professional services industry for 1 – 5 years;
- Possess a lawyer license and notary license would be a strong advantage, excepting for litigation practice is a must;
- Be able to demonstrate the ability to draft, review, and revise documents at the professional level both in Thai and English
- Be able to demonstrate the ability to digest complicated policies and regulations to become simple, understandable, and practical
- Possess strong logical and analytical skills, attention to detail, and outstanding communication skills;
- Compatible with current technology and excellent skills in Microsoft Office, especially PowerPoint
- Possess a service mind and am willing to assist the client in accordance with professional standards and
- Be able to demonstrate professional-level language skills in both Thai and English (TOEIC Score should not be less than 750 points)
