Legal Counsel
Human Solutions and Consulting Recruitment Co., Ltd.- Manage and handle all legal matters for Buymed's businesses in Thailand in B2B Ecommerce including pharmaceutical distribution, e-commerce, logistics and cross functions
- Ensure compliance with all regulatory requirements; implement due diligence processes and activities within the country (or region) to enforce a structured approach to legal & compliance management.
- Draft, review, and revise various types of contracts and support business teams in contract negotiation.
- Review and lead the reporting of key findings related to existing and potential legal risks, including recommendations to mitigate risks from an operational perspective.
- Manage key litigations/arbitrations (if any), interactions with external legal counsels, and representing the country in critical legal proceedings to protect the company's interests.
- Manage intellectual property matters, including trademarks, patents, and copyrights related to the company.
- Contribute to the development and implementation of internal policies and procedures, ensuring that they are aligned with the organization's objectives and legal requirements.
- Provide training sessions to internal stakeholders on legal and compliance aspects; raise awareness of legal risks and best practices; collaborate with cross-functional teams, address legal challenges, and facilitate business objectives.
- Communicate and liaise with relevant regulatory authorities to obtain necessary approvals, certificates, and licenses for Thai businesses; address inquiries and ensure ongoing compliance.
- Maintain accurate and organized legal documentation and contracts; ensure that records are up-to-date and readily accessible for audit purposes.
- Manage to get the proper licenses (GDP, GSP, GPP, etc.) and the respective post- license compliance.
- Give accurate and timely counsel to executives on a variety of legal topics (labor law, partnerships, corporate finance, etc.).
- Bachelor’s degree of law (or above).
- Proven legal counsel having a minimum of 5 years of relevant legal experience, with a combination of at least 2
- years of experience in the law firm & at least 2 years of experience in healthcare/pharmaceutical sectors (either law-firm or in-house environment), preferred to have the experience in getting the GPs licenses, e-commerce.
- Strong understanding of the laws of Thailand, especially the healthcare-relevant laws, regulations, and best market practices; familiarity with international laws and regulations that might impact the pharmaceutical sector.
- Excellent communication in both Thai and English and interpersonal skills.
- Can work independently and as part of a team.
- Have strong analytical and problem-solving skills.
- Full comprehension of the influences of the external environment of a corporation.
- Demonstrated ability to create legal defensive or proactive strategies.
- High degree of professional ethics and integrity.
